About the Role
We are looking for a dynamic and detail-oriented Associate to join our secretarial team. This position is ideal for individuals who have completed their Company Secretary (CS) qualification and are eager to take on advanced responsibilities in corporate governance, compliance, and advisory roles. The role offers extensive exposure to high-level secretarial practices and the opportunity to work with diverse clients and assignments.
Key Responsibilities
- Corporate Governance and Compliance
- Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other applicable laws.
- Monitor and implement changes in regulatory requirements and advise clients accordingly
- Conduct compliance audits and prepare detailed reports for clients
- Board and General Meetings
- Draft notices, agendas, resolutions, and minutes for Board Meetings, Committee Meetings, and General Meetings
- Provide advisory and secretarial support to the Board and its committees
- Oversee the logistics and coordination of meetings to ensure compliance with statutory requirements
- Regulatory Filings and Documentation
- Prepare and file statutory returns, forms, and reports with the Ministry of Corporate Affairs (MCA), Registrar of Companies (RoC), SEBI, and other regulatory bodies
- Manage documentation for incorporation, corporate restructuring, investment transactions, acquisition, share transfers, and other corporate actions
- Advisory Services
- Provide expert advice on corporate governance, secretarial standards, and compliance management
- Support clients in complex transactions, including mergers, acquisitions, and demergers
- Assist in preparing opinions and advisory notes on company law and regulatory matters
- Client and Team Collaboration
- Serve as a point of contact for clients, providing high-quality and timely service
- Work collaboratively with internal teams to deliver seamless services
- Mentor and guide junior team members and trainees, fostering their professional development
- Special Assignments
- Conduct due diligence and compliance reviews for corporate restructuring projects
- Participate in the preparation / review of documentation and reports for listed entities
Qualifications
- Qualified Company Secretary (CS) with Associate Membership of ICSI.
- 0 – 2 years of relevant work experience in corporate secretarial roles (post-qualification preferred)
- In-depth knowledge of the Companies Act, 2013, SEBI regulations, FEMA, and other applicable laws
- Excellent drafting, communication, and interpersonal skills
- Strong analytical and problem-solving abilities
- Ability to manage multiple assignments while maintaining attention to detail
